5. Fees and Payments

Fees for our services will be set out in writing. Payment obligations may include deposits, milestone payments, subscription charges, maintenance fees, usage based fees, or final settlement amounts depending on the type of engagement.

• Invoices must be paid according to the payment terms stated in the relevant quotation or agreement
• Late payment may result in project delays, suspension of access, suspension of support, or delayed delivery
• Where permitted under the relevant agreement, late payment charges or recovery costs may apply
• Unless otherwise stated, all prices are exclusive of applicable taxes, government charges, and third party costs

6. Intellectual Property

All intellectual property rights in our website, branding, code libraries, frameworks, templates, systems, documents, graphics, and original materials remain the property of Inno Panda or its licensors unless otherwise agreed in writing.

Ownership of project deliverables will depend on the terms of the relevant client agreement. In some cases, clients may receive a licence to use certain deliverables rather than full ownership. Reusable code components, internal tools, frameworks, methods, and pre existing assets generally remain the property of Inno Panda unless specifically assigned in writing.

Clients are responsible for ensuring that all materials, content, instructions, images, logos, trademarks, documents, and data provided to Inno Panda are accurate, lawful, authorised for use, and do not infringe the rights of third parties.

By supplying such materials, the client represents that it has the necessary rights, licences, permissions, and authority for Inno Panda to use them for the purpose of delivering the relevant services.

8. Third Party Tools and Integrations

Our services may involve third party software, plugins, APIs, payment gateways, hosting providers, analytics tools, communication services, app stores, maps, cloud services, and other integrations.

Inno Panda is not responsible for interruptions, pricing changes, security incidents, compatibility changes, service withdrawals, or policy changes caused by third party providers. Use of those services may also be subject to their own terms and privacy policies.

9. Availability and Support

We aim to provide services in a professional and commercially reasonable manner. However, we do not guarantee uninterrupted website availability, uninterrupted access to all software features at all times, or error free operation of any system.

Support response times, maintenance coverage, and service levels will depend on the package, agreement, or support arrangement in place. Scheduled maintenance, updates, third party issues, and security measures may affect availability from time to time.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Inno Panda shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, business interruption, loss of opportunity, loss of data, or loss of goodwill, arising out of or in connection with the use of our website, services, software, or deliverables.

Where liability cannot be excluded, our aggregate liability shall be limited to the amount paid to Inno Panda for the relevant services giving rise to the claim, subject always to the terms of any separate written agreement that may apply.
